Limited Liability Company "SARTORIA FAIN & CO." (legal entity identification code: 46262302), represented by the Director of the Company, Fain Tymofii Volodymyrovych, acting on the basis of the Articles of Association and Minutes No. 5 of the General Meeting of Participants (Founders) of Limited Liability Company "SARTORIA FAIN & CO." dated 25.04.2026, certified by private notary of the Kyiv City Notarial District Dulenko O.O., registered in the register under No. 246–248, hereinafter referred to as the "Seller", and acting in accordance with Articles 633, 634, 641, 642 of the Civil Code of Ukraine, hereby offers an unlimited number of persons to purchase Goods listed on the Seller's website at sartoriafain.com or Goods located at the Seller's retail premises, under the terms of this Public Sales Contract.
Definitions Used in This Contract
"Public Sales Contract" — a transaction governing the relationship between the Seller and the Buyer regarding the purchase of Goods on the terms established by the Seller. In accordance with Articles 633 and 641 of the Civil Code of Ukraine, its terms are identical for all Buyers.
"Buyer" — a person who purchases Goods from the Seller under this Contract.
"Seller" — Limited Liability Company "SARTORIA FAIN & CO.", legal entity identification code: 46262302.
"Parties to the Contract" — the Seller and the Buyer under this Contract.
"Acceptance" — the Buyer's full and unconditional acceptance of the terms of this Contract by placing an Order on the Website or paying for Goods at the retail premises. The Contract is deemed concluded upon the Seller's confirmation of the Order.
"Seller's Retail Premises" — the territory where Goods are located, where the Buyer may select, try on, and pay for Goods.
"Goods" — items including clothing (men's suits, shirts, etc.), footwear, and accessories offered for sale.
"Website" — the web page at sartoriafain.com.
"Cart" — the Website page displaying the list of selected Goods.
"Placing an Order on the Website" — selecting specific Goods and submitting an Order to the Seller or booking a fitting appointment.
"Alteration of Goods" — any modifications to Goods made by a tailor (shortening, hemming, etc.).
1. Subject Matter of the Contract
1.1. The Seller undertakes to transfer ownership of the selected Goods to the Buyer, and the Buyer undertakes to accept and pay for them under the terms of this Contract.
2. Terms and Procedure for the Purchase of Goods
2.1. Placing an Order on the Website:
2.1.1. To place an order, the Buyer must select the desired Goods, add them to the Cart, complete the order form, and click "Complete Order".
2.1.2. The Contract is deemed concluded after the Seller confirms the order. Any online payment made prior to confirmation shall be treated as an advance payment.
2.1.3. Orders are processed within 3 business days.
2.1.4. Ownership of the Goods transfers to the Buyer at the moment of actual delivery of the Goods, confirmed by the Buyer's signature on the relevant document.
2.1.11. The Buyer may try on and use the Goods only after full payment has been made.
2.2. Purchase of Goods at the Seller's Retail Premises:
2.2.1. The Buyer may purchase Goods at retail locations listed on the Website.
2.2.2. When the "Boutique Fitting" option is selected on the Website, the submission constitutes a reservation. The Contract is concluded directly at the retail premises.
2.3. Alteration of Goods:
2.3.1. Alteration services may additionally be provided only for Goods that have been fully paid for.
2.3.2. Goods of proper quality that have undergone alteration are not subject to return or exchange, as they have acquired individual characteristics.
2.3.3. Return after alteration is only possible in the event of poor-quality services (uneven or torn stitching).
2.4. Delivery of Goods:
2.4.1. Delivery is carried out via LLC "NOVA POSHTA". Delivery costs are borne by the Buyer.
2.5. Return and Exchange of Goods:
2.5.1. The Buyer has the right to return or exchange Goods of proper quality within the statutory period, provided they have not been used and retain their original appearance.
2.5.2. Returns may be made at the Seller's premises at: Ukraine, 01034, Kyiv, 5/24 Irynynska Street, or by sending via Nova Poshta to Branch No. 450 in Kyiv, addressed to Marketing Director Fain Vladyslava Borysivna.
2.5.3. Funds are returned within 7 calendar days after the Seller receives the returned Goods.
3. Contract Price and Payment Procedure
3.1. Prices are indicated in Ukrainian hryvnias and do not include delivery costs.
3.2. Payment at the retail premises may be made in cash or by non-cash transfer.
3.3. Goods and services must be fully paid for at the time of their transfer or provision.
4. Rights and Obligations of the Parties
4.1. The Buyer has the right to place an order, demand fulfilment of the Contract terms, and refuse Goods of inadequate quality.
4.2. The Buyer undertakes to provide accurate information, pay for Goods in a timely manner, and inspect their condition upon receipt.
4.3. The Seller undertakes to provide accurate information about the Goods, fulfil orders, and verify the quality of Goods prior to dispatch.
5. Liability of the Parties
5.1. The Seller shall not be liable for the actions of third parties (delivery services) or for damage to Goods resulting from their fault.
5.2. The Seller's liability is limited to the value of the purchased Goods.
6. Personal Data
6.1. Personal data is processed in accordance with the Law of Ukraine "On the Protection of Personal Data".
6.2. The Buyer may withdraw consent to data processing by contacting: sartoriafain@gmail.com
7. Force Majeure
7.1. The Parties are released from liability in the event of force majeure circumstances (war, fire, etc.).
8. Dispute Resolution
8.1. All disputes shall be resolved through negotiation or through the courts in accordance with the legislation of Ukraine.
9. Term of the Contract
9.1. The Seller reserves the right to unilaterally amend this Contract.
9.2. Acceptance of the terms is constituted by the Buyer's actions directed at purchasing the Goods.
10. Final Provisions
10.1. Correspondence via email, SMS, or messengers (Viber, Telegram, etc.) is recognised as official communication.
